Plugin Supermarket End User License Agreement

Please read this agreement before installing or using Plugin Supermarket. It is a legal agreement between you and Help Me Devvon LLC ("HMD", "we", "us"). By installing, opening or using Plugin Supermarket you agree to it. If you do not agree, do not install or use Plugin Supermarket.

1. WHAT THIS AGREEMENT COVERS

"Plugin Supermarket" means the Plugin Supermarket software in every format (VST3, AU, AAX and the standalone app), its updates, the HMD Originals, every plugin you download or buy inside it, the Build Assistant, the Marketplace, the Community features and the online services they use. This agreement covers all of them. Purchases, the wallet, the Creator Program and the Community are also covered by HMD's Terms of Service, and your personal information is handled under HMD's Privacy Policy. Creators who sell on the Marketplace also accept the Creator Agreement. All of these documents can be read inside Plugin Supermarket under Settings, About, Legal, and at helpmedevvon.com.

2. WHO MAY USE PLUGIN SUPERMARKET

You must be at least 13 years old to use Plugin Supermarket. You must be at least 18 years old, or have the permission of a parent or legal guardian who agrees to this agreement for you, to buy anything or subscribe to the Creator Program. You must be at least 18 years old (or the age of majority where you live, if higher) to sell on the Marketplace.

The first time you open Plugin Supermarket you are asked to confirm your age and accept this agreement and the Terms of Service. When you are signed in, HMD records which version of each document your account accepted and when.

3. YOUR LICENSE

Plugin Supermarket is licensed to you, not sold. Subject to this agreement, HMD grants you a personal, non-exclusive, non-transferable, revocable license to install and use Plugin Supermarket on computers you own or control, and to use each plugin you are entitled to, for as long as your license lasts.

Buying a plugin gives you a license to use it under this agreement, linked to your helpmedevvon.com account. It does not transfer ownership of the plugin, its design, its sound or any part of Plugin Supermarket to you.

4. YOUR ACCOUNT AND YOUR COMPUTERS

Plugins you own belong to your helpmedevvon.com account, not to a computer. Your account may be active on a limited number of computers at the same time (currently three), and there is a limit on how often you can move it between computers. You can sign out of a computer in Settings to free it. Limits may change; the current limits are shown when you reach them.

Your account is for you alone. Do not share your login or let other people use your plugins through your account. HMD may sign out computers, limit or suspend accounts, and block access where we reasonably believe an account is being shared, resold, used with cracked or modified software, or used for fraud or chargebacks.

5. ONLINE FEATURES AND OFFLINE USE

Signing in, buying, downloading, the Build Assistant, the Marketplace and the Community need an internet connection. After you sign in, the plugins you own keep working without a connection for a limited period (currently 30 days). After that, Plugin Supermarket needs to reconnect to confirm your account before those plugins load again.

Plugins you buy from the Marketplace are stored on your computer in a protected form that only Plugin Supermarket on that computer can open. On a new computer, sign in and download them again from your Library.

6. COMMERCIAL USE OF YOUR MUSIC

You may use Plugin Supermarket and every plugin you are entitled to on any music, mix, master, recording, broadcast, stream or other audio work, including commercial releases. No royalties or credits are owed to HMD or to any creator for the audio you make.

7. WHAT YOU MAY NOT DO

Except where the law expressly allows it despite this restriction, you may not:
(a) sell, rent, lend, share, sublicense, give away or otherwise transfer Plugin Supermarket, the HMD Originals, any plugin you bought, or your account;
(b) copy, decompile, disassemble, reverse engineer or decrypt Plugin Supermarket, any plugin or any protected file, or try to obtain their source code, designs or signal processing;
(c) extract, copy or republish an HMD Original or another creator's plugin, design, artwork or sound, in whole or in part, including by rebuilding it in the Workbench;
(d) remove, disable or work around account checks, computer limits, copy protection, signatures or any other technical protection;
(e) modify Plugin Supermarket, or use it to build a competing product or service;
(f) remove or change any copyright, trademark or license notice; or
(g) use Plugin Supermarket in breach of any law or of HMD's Terms of Service.

8. PLUGINS YOU BUILD YOURSELF

You own the plugins you design yourself in the Workbench ("Your Designs"): your choice and arrangement of modules and controls, your settings, names and descriptions, and any artwork you supply. HMD does not claim ownership of Your Designs.

Plugin Supermarket's audio engine, modules, controls, chassis, visualizers, fonts, artwork, the HMD Originals and the software itself remain the property of HMD and its licensors. Your Designs use them under this agreement; designing or selling a plugin does not give you or anyone else any right in them.

You may share, give away or sell Your Designs outside the Marketplace, for example from your own website, in the open format Plugin Supermarket exports. Any such sale is solely between you and your customer. HMD is not a party to it and is not responsible for its payment, delivery, support, refunds, taxes or customer service. Your customers must install Plugin Supermarket and accept this agreement to use Your Designs. You may not include, sell or distribute any HMD Original, any plugin bought from the Marketplace, or any part of Plugin Supermarket on its own or as part of Your Designs.

Only Your Designs can be opened in the Workbench, exported or imported. HMD Originals and plugins bought from the Marketplace cannot.

9. PLUGINS BOUGHT OUTSIDE THE MARKETPLACE

If you buy or receive a plugin design from a creator outside the Marketplace, that is between you and that creator. Keeping your own copy, and restoring it on a new computer, is your responsibility; HMD cannot restore, replace or refund it. If the same design is also sold on the Marketplace, you can buy it there, and sessions that used your earlier copy will load the Marketplace version.

10. MARKETPLACE AND CREATOR PLUGINS

Creator plugins on the Marketplace are designed by independent creators, who own their designs, and are sold and delivered by HMD and run on HMD's engine. Support requests for any Marketplace purchase go to HMD, not to the creator. Once a plugin is published its sound is not changed by updates, so your sessions keep sounding the same; a creator who wants a different sound publishes a new plugin. HMD reviews every listing but does not guarantee any creator plugin. HMD may take a listing off sale for a legal reason (for example, a valid copyright complaint); people who already bought it keep it.

11. PURCHASES, WALLET AND NO REFUNDS

Prices are shown in US dollars before any applicable tax. Wallet credit is prepaid credit for HMD products. It is not money held for you, has no cash value, and cannot be transferred or withdrawn.

Plugins, wallet top-ups, Build Assistant requests and Creator Program payments are digital and delivered immediately, so all sales are final and are not refunded, except where the law requires a refund. The full rules are in the Terms of Service. If you dispute a payment with your bank or card issuer (a chargeback) for something you received, HMD may suspend your account.

The Creator Program subscription renews automatically until you cancel, as described in the Terms of Service and on its purchase page.

12. BUILD ASSISTANT

The Build Assistant uses artificial intelligence, run by HMD and its service provider, to suggest plugin layouts, settings and wording. Suggestions can be wrong, incomplete or unsuitable, and similar suggestions may be given to other users, so they are not exclusive to you. Check everything before you rely on it, publish it or sell it. The Build Assistant is limited by the requests included with your account, membership or request pack; requests are used up when you send them. What you send to the Build Assistant is processed as described in the Privacy Policy. Do not send it anything you do not have the right to share.

13. YOUR SESSIONS AND YOUR DATA

Plugin Supermarket saves its settings inside your DAW sessions. Plugins you bought are saved there in a protected form tied to your computer and account, so a session shared with someone else loads them only if that person owns them too. Keep your own backups of your sessions, Your Designs and anything else that matters to you; HMD is not responsible for lost sessions, projects, designs or data.

To enforce computer limits and prevent abuse, Plugin Supermarket sends HMD a one-way scrambled identifier and the name of each computer you sign in on, and HMD records sign-in and computer activity on your account, including the internet (IP) address and approximate location it came from. Details are in the Privacy Policy.

14. UPDATES AND CHANGES

HMD may update Plugin Supermarket, and may add, change or retire features and online services. Some updates may be needed to keep using the online features. HMD may change this agreement; for a material change, Plugin Supermarket will show you the new version, and continuing to use it after that means you accept it.

15. THIRD-PARTY SOFTWARE AND TRADEMARKS

Plugin Supermarket includes software and fonts from other people, each under its own license. They are listed, with their full license texts, in Plugin Supermarket under Settings, About, Credits, and in THIRD-PARTY-NOTICES.txt. Where one of those licenses gives you rights in that component, those rights are not limited by this agreement.

VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Units is a trademark of Apple Inc. AAX and Pro Tools are trademarks of Avid Technology, Inc. Other names belong to their owners. Plugin Supermarket, HMD, Help Me Devvon and the HMD Originals are trademarks of Help Me Devvon LLC.

16. FEEDBACK

If you send HMD ideas or suggestions, HMD may use them without paying you or owing you anything.

17. ENDING THIS AGREEMENT

You may end this agreement at any time by uninstalling Plugin Supermarket and deleting your account (Settings, Account, Delete my account). Plugins you got through a deleted account stop loading. HMD may suspend or end your license if you break this agreement or the Terms of Service, or if your account is closed for abuse or fraud. When your license ends you must stop using Plugin Supermarket. What happens to any wallet balance is covered by the Terms of Service. Sections 7, 8 (ownership), 15, 16 and 17 to 22 survive the end of this agreement.

18. LOOK AFTER YOUR HEARING AND YOUR EQUIPMENT

Audio software can produce very loud or sudden sounds. Keep monitoring levels safe, and use a limiter on your outputs when experimenting. HMD is not responsible for damage to hearing, speakers or other equipment.

19. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT ALLOWED BY LAW, PLUGIN SUPERMARKET, EVERY PLUGIN, THE BUILD ASSISTANT AND THE ONLINE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THEY WILL BE UNINTERRUPTED, ERROR-FREE OR COMPATIBLE WITH YOUR COMPUTER OR HOST SOFTWARE.

20. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT ALLOWED BY LAW, HMD AND ITS OWNERS, EMPLOYEES, CREATORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, SESSIONS, PROJECTS OR GOODWILL, ARISING FROM THIS AGREEMENT OR YOUR USE OF PLUGIN SUPERMARKET, EVEN IF ADVISED OF THE POSSIBILITY. HMD'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO PLUGIN SUPERMARKET WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID HMD IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (B) FIFTY US DOLLARS (US$50).

Some places do not allow certain warranties to be excluded or liability to be limited, so some of sections 19 and 20 may not apply to you. Nothing in this agreement limits rights you have under consumer law that cannot be limited by contract.

21. GOVERNING LAW AND DISPUTES

This agreement is governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising from this agreement or Plugin Supermarket will be decided only by the state or federal courts located in New York County, New York, and you and HMD consent to their jurisdiction, except that either of us may bring an individual claim in a small claims court where it qualifies. If you live in a country whose law gives you the right to bring a claim in your local courts, this section does not take that right away.

22. GENERAL

This agreement, together with the Terms of Service, the Privacy Policy and (for creators) the Creator Agreement, is the entire agreement between you and HMD about Plugin Supermarket. If any part of it is found unenforceable, the rest stays in effect. If HMD does not enforce a right, that is not a waiver of it. You may not transfer this agreement; HMD may transfer it as part of a sale or reorganization of its business. You must comply with all export and sanctions laws that apply to your use of Plugin Supermarket. Plugin Supermarket is "commercial computer software" provided to US government users with only the rights given in this agreement.
