Plugin Supermarket Creator Agreement

This Creator Agreement is between you and Help Me Devvon LLC ("HMD", "we", "us"). It applies when you submit plugins to the Plugin Supermarket Marketplace or the Showcase, sell plugins through the Marketplace, or receive payouts. It adds to the Plugin Supermarket Terms of Service (the "Terms") and the End User License Agreement (the "EULA"); words defined there have the same meaning here. If this agreement and the Terms disagree about creator matters, this agreement wins. You accept it in Plugin Supermarket before your first Marketplace submission, and HMD records which version you accepted and when.

1. WHO CAN BE A CREATOR

To submit plugins for sale you must:
(a) have an active Creator Program membership, paid or gifted;
(b) be at least 18 years old (or the age of majority where you live, if higher); and
(c) to receive payouts, complete Stripe's payout setup and keep it in good standing.
If you act for a business, you confirm that you are authorized to accept this agreement for it, and "you" includes that business.

2. DEFINITIONS

"Your Plugin" means a plugin design you create in Plugin Supermarket and submit to the Marketplace or the Showcase, including its arrangement of modules and controls, settings, name, description, control descriptions and any artwork you supply. "HMD Materials" means Plugin Supermarket, its audio engine, modules, controls, chassis, visualizers, fonts, artwork, templates and the HMD Originals. A "Listing" is Your Plugin as published for sale on the Marketplace.

3. OWNERSHIP

You own Your Plugins. HMD owns the HMD Materials. Your Plugins run on, and are displayed with, the HMD Materials; this agreement does not give you any ownership of, or any right to distribute, the HMD Materials outside Plugin Supermarket.

4. THE LICENSE YOU GIVE HMD

For each Plugin you submit, you give HMD a worldwide, non-exclusive, royalty-free license (except for the revenue share in Section 9) to:
(a) store, review, test and process it;
(b) reproduce, package, protect, distribute, sell and deliver it to buyers through Plugin Supermarket, and license it to them under the EULA;
(c) display and play it in Plugin Supermarket, including on its Marketplace page, in previews, screenshots, thumbnails and the Showcase; and
(d) use its name, images and your creator name and profile to promote it and Plugin Supermarket, in the app, on helpmedevvon.com and in HMD's marketing.
Once a Listing is published, this license is perpetual and irrevocable for that Listing: it stays available on the Marketplace so that buyers' plugins and saved sessions keep working, even if you stop submitting, your membership ends, this agreement ends or you delete your account (Sections 13 and 20). HMD removes a Listing only under Section 6 or 15. Every buyer keeps their license to Your Plugin in every case, including re-downloads on new computers.

5. WHAT YOU PROMISE

For each Plugin you submit, you promise that:
(a) you created it, or you have every right needed to grant the license in Section 4;
(b) you own, or have permission to use, every image you include (such as a background or logo), and every name, word and description in it;
(c) it does not copy another creator's plugin or design, and does not include any HMD Original, any plugin you bought from the Marketplace, or any part of the HMD Materials except as Plugin Supermarket itself uses them;
(d) it does not use another company's product or brand names, logos or trade dress in a way that suggests it is that company's product or endorsed by it (for example, naming a plugin after a famous hardware unit you are not licensed to name);
(e) its name, description, category and control descriptions are accurate and not misleading; and
(f) it follows the Community Guidelines in the Terms and the law.

6. REVIEW AND PUBLISHING

HMD reviews every submission and may approve or reject it at its discretion, for example because it breaks Section 5, is incomplete, is too similar to an existing plugin, or does not meet HMD's quality standards. Every control must have a description before a plugin can be submitted. If HMD rejects a submission, it will tell you the reason and what is missing. A rejected plugin stays yours and stays usable as your own plugin. HMD may remove or suspend a Listing at any time if it reasonably believes the Listing breaks this agreement or the law, is the subject of a legal complaint, or puts buyers or HMD at risk; where possible HMD will tell you why first.

7. FROZEN SOUND AND "PART 2"

Once a Listing is published, its sound cannot be changed, because buyers' saved sessions depend on it. Updates to a published Listing may change only its text and looks. A plugin with a different sound must be submitted as a new plugin (for example, "Part 2").

8. PRICES AND SALES

You set the price of each Listing within the range Plugin Supermarket allows (currently US$3 to US$100). Listings cannot be free. HMD is the seller of every Marketplace purchase: buyers pay HMD, HMD delivers the plugin, sets the terms of sale, handles payments and any sales tax, and handles customer support under the Terms. All sales are final (Terms, section 6). HMD sells Listings in its own name and is not your agent.

9. YOUR SHARE OF SALES

For each paid purchase of Your Plugin, you earn 70 percent of the Listing's price at the time of purchase, rounded down to the cent, and HMD keeps 30 percent. Your share is not reduced by payment processing fees or by taxes HMD collects. You earn nothing on copies HMD gives away free (for example, as a gift or a replacement). HMD may change the revenue share only by giving you at least 30 days' notice, and a change never affects sales already made.

10. PAYOUTS

Payouts are made through Stripe Connect. To receive them you must complete Stripe's onboarding and accept Stripe's terms for connected accounts. Each earning becomes payable 30 days after the sale (so chargebacks and fraud can come to light first). HMD pays out eligible earnings automatically once they total at least US$25, generally once a day, to your Stripe account, and Stripe then pays your bank on its own schedule. Payouts are in US dollars; any currency conversion is done by Stripe. If your Stripe account is not ready, earnings wait until it is. HMD may hold payouts while it investigates suspected fraud, chargebacks or a breach of this agreement.

11. CHARGEBACKS AND FRAUD

HMD does not give refunds (Terms, section 6). If a buyer's payment is charged back or turns out to be fraudulent while your earning from that sale is still in its 30-day hold, that earning is canceled. Earnings that have already been paid out are never taken back because of a chargeback.

12. TAXES

You are responsible for your own income taxes on your earnings. Stripe collects your tax information on HMD's behalf, and HMD or Stripe will issue any tax forms the law requires. HMD may withhold amounts where the law requires.

13. WHEN YOUR MEMBERSHIP ENDS

If your Creator Program membership ends, you can no longer submit new plugins or updates, and your public creator profile is hidden. Under HMD's current policy your existing Listings stay on sale and you keep earning from them and receiving payouts, as long as you are not in breach of this agreement. HMD may change this policy by giving you at least 30 days' notice.

If you delete your account, your Listings stay on sale (Section 4), HMD keeps all later sales, and earnings not yet paid out are forfeited; the delete screen shows that amount before you confirm.

14. THE SHOWCASE

You may also submit designs to the Showcase. Showcase designs are displayed, not sold or downloadable, and do not earn money. HMD chooses which designs appear and may remove them at any time. Sections 3 to 6 apply to Showcase designs.

15. COPYRIGHT COMPLAINTS

If HMD receives a copyright notice about Your Plugin, HMD will handle it under the Terms, which may include removing the Listing and holding related earnings until it is resolved. You may send a counter-notice as described in the Terms. HMD closes the creator accounts of repeat infringers.

16. SELLING YOUR DESIGNS OUTSIDE THE MARKETPLACE

You may sell, license or give away designs you create with Plugin Supermarket ("Your Designs") through your own website or any other store, in the open format Plugin Supermarket exports. Any such sale is solely between you and your customer. HMD is not a party to it, does not process its payments, and is not responsible for its delivery, support, refunds, taxes or customer service. Your Designs run only inside Plugin Supermarket. Your customers must install Plugin Supermarket and accept its End User License Agreement to use them. Plugin Supermarket, its audio engine, modules, controls, chassis, visualizers, artwork and the HMD Originals remain the property of Help Me Devvon LLC. Selling Your Designs does not sell, transfer or sublicense any of them. You may not sell or distribute HMD Originals, HMD artwork or any part of Plugin Supermarket on its own or as part of Your Designs, and you may not say or suggest that HMD sells, supports or endorses your outside sales.

If you sell the same design both outside and on the Marketplace, HMD treats the Marketplace Listing as a separate product. A customer who bought from you outside the Marketplace and later buys the Listing gets it under the EULA like any other buyer.

17. NAMES, TRADEMARKS AND PUBLICITY

You may say that Your Plugins are "available on Plugin Supermarket" and link to them. You may not otherwise use HMD's names or logos, or suggest HMD endorses you, without HMD's written permission. HMD may name you as the creator of Your Plugins and feature you and them in its marketing.

18. YOUR RESPONSIBILITY TO HMD

If someone makes a claim against HMD because Your Plugin, or anything you submitted, infringes their rights or breaks your promises in Section 5, you will cover HMD's reasonable losses and costs from that claim, including reasonable legal fees, and HMD may deduct them from your earnings, to the extent the law allows. HMD will tell you about the claim promptly and let you take part in the defense.

19. RELATIONSHIP

You are an independent creator, not HMD's employee, partner or agent. This agreement is not exclusive: you may sell your work elsewhere, as Section 16 describes, and HMD may sell plugins similar to yours.

20. ENDING THIS AGREEMENT

You can stop submitting plugins at any time; Listings already published stay on sale (Section 4). HMD may end this agreement, or suspend your creator features, if you break it or the Terms, or with 30 days' notice for any other reason. When it ends, your published Listings stay on sale unless they are removed under Section 6 or 15, and while your account exists and is in good standing you keep earning from them as described in Section 13, except amounts reduced under Sections 11 and 18 or held because of fraud. Sections 3, 4, 9 to 13, 15, 18 and 21 survive.

21. GENERAL

HMD may update this agreement. For a material change, HMD will tell you in Plugin Supermarket or by email at least 30 days before it takes effect, and ask you to accept the new version before your next submission. This agreement is governed by the laws of the State of New York, USA, and disputes are decided as described in the Terms. The general terms in the Terms (entire agreement, severability, waiver and transfer) apply to this agreement too.
